Blue Moon proposes a sale for buyer shares
TSXV-listed Blue Moon Metals has agreed to sell Blue Moon Norway to London-listed ACG Metals for US$220 million in ACG shares, subject to customary adjustments. Closing adjustments are payable in cash. The Norwegian assets include construction-stage Nussir and exploration-stage NSG.
Closing is anticipated by November 30, subject to ACG shareholder, TSXV and other customary approvals. Blue Moon says it wants to refocus on its U.S. assets. Selling for buyer shares keeps the seller exposed to the buyer’s fortunes; it isn’t the same as banking the proceeds in cash.
