Chorus agrees to buy SkyCare: part of the price depends on performance
Chorus Aviation has agreed to acquire SkyCare Air Ambulance, headquartered in Sioux Lookout, Ontario. Approximate total consideration is C$40 million, including contingent consideration and subject to customary adjustments. The structure calls for C$32 million in cash, with the remainder payable by March 31, 2029, subject to performance targets.
Closing is expected in the fourth quarter of 2026, subject to customary conditions.
Owner takeaway: The headline amount and the cash component answer different questions. For a seller comparing offers, the next conversation is about the performance tests attached to the remainder—not simply whether the headline price looks attractive.

Saturn–Corex: an election is not a guaranteed payment mix
Saturn Oil & Gas agreed to acquire Corex Resources, a Manitoba oil producer, for C$302 million in shareholder consideration after net-debt adjustment. This is not enterprise value.
Cash/share elections face proration. Closing is expected by December 31, 2026, subject to conditions including court, Competition Act and TSX approvals. There is no financing contingency; funding failure remains a disclosed risk.
Owner takeaway: Compare the payment mix you may actually receive. An election subject to limits does not guarantee your preferred mix.

KORT–AptPay: keep the operating plan separate from the closing
KORT Payments has signed a definitive agreement to acquire 100% of Toronto-based AptPay, which provides real-time payments and payment orchestration. Financial terms were not disclosed.
The announced post-closing plan keeps AptPay’s brand within a KORT division, with Shams Syed continuing to lead the business. Closing is expected in the fourth quarter of 2026, subject to customary conditions.
Owner takeaway: Price is not the only part of an acquisition worth reading. The retained brand and leadership plan describe the intended operating arrangement. They do not establish that integration has already happened or that its benefits have been achieved.

Galleon Gold: two financings, one-way dependence
Galleon Gold announced an approximately C$20 million bought deal plus a separate C$4.75 million Pan American Silver placement. An option for up to C$3 million more is additional capacity, not base funding. Galleon’s West Cache project is in Timmins, Ontario.
Concurrent closing is expected around November 3, subject to customary conditions, including TSXV approval. The flow-through portion must close within 45 days of this announcement or it will not proceed.
The Pan American placement depends on the bought deal closing. The bought deal does not depend on the Pan American placement closing.
Owner takeaway: Identify which component survives if the other falls away before counting the combined announcement as available money.
