Good morning. Three Canadian-company developments, with an eye on the terms.
CHS moves toward benefits administration
Comprehensive Healthcare Systems announced an October 9 agreement to buy the business of America’s Choice Healthplans, a U.S. benefits administrator. The Alberta-incorporated software company expects closing this month, subject to conditions and any required regulatory approvals.
CHS would acquire client contracts and certain operating assets, while assuming certain liabilities. It says no common shares are being issued and describes the cash paid as immaterial to CHS. The exact purchase price is undisclosed.
ACH’s 2025 operating revenue was approximately US$2.3 million, with an approximately US$10,000 net loss, according to unaudited figures reported by CHS.
Our take: CHS plans to put its Novus360 software inside the acquired business and consider further acquisitions if integration succeeds.

Golden Shield: capital with several conditions
Golden Shield announced a binding letter for a proposed C$5 million investment from Walsh Karra Holdings through Aurevo, plus up to C$1 million from existing shareholders and management. Definitive agreements still need to be negotiated.
The financing would use subscription receipts, with proceeds held in escrow. Releasing that money, converting the receipts and completing a linked technology-rights purchase would depend on one another. Conditions include renewal and issuance of the Marudi prospecting licence in Guyana and required shareholder and CSE approvals.
If release conditions are unmet by January 6, 2027, escrowed funds and interest would go back to subscribers. The investor group would hold approximately 51% on a fully diluted basis upon completion.
Our take: the potential C$6 million headline comes with a permit, transaction and control story. That is not cash available to spend.

Quick hit: Auranova’s closing comes with a caveat
Auranova, an explorer focused on Ontario’s Red Lake region, says it closed its previously announced placement of flow-through shares and hard-dollar units. The same release still says closing is subject to necessary approvals, including TSX Venture Exchange approval.
Each hard-dollar unit combines a common share and half a warrant; a whole warrant has a one-year exercise period after closing. This is a company-reported closing update, with that approval qualification still attached.
