Historical source basis: 2026-08-24.
A completion announcement does not establish that every possible part of a purchase price has been paid. Calian’s Galaxy Broadband terms separate approximately C$24m upfront from up to C$27.5m conditional on performance over three years. Reading those components separately keeps a possible future payment from becoming an assumed receipt today.
This is one acquisition with a June 2026 agreement and a later completion disclosure. Calian is headquartered in Ottawa; Galaxy is headquartered in Mississauga, Ontario. The case follows the disclosed consideration structure. It does not establish the detailed performance formula, a payment schedule or what an individual seller ultimately received. The completion release supports the transaction’s completed status by its disclosure date, while leaving the actual contingent payout unknown.
What the disclosed figures mean
Upfront consideration
Canadian dollars: Approximately C$24m
The disclosed upfront component. The case does not establish an individual seller’s net proceeds or exact cash-receipt date.
Additional performance consideration
Canadian dollars: Up to C$27.5m
Conditional on performance over three years. This is a ceiling for the additional component, not evidence that it was paid.
Actual contingent amount paid
Canadian dollars: Not established
Unknown is not zero. The read disclosures do not establish the realized payout.
For an owner reading an offer, the useful follow-up is what would turn a conditional amount into a payment. A ceiling supplies only one piece of that answer. This case supplies a three-year performance period, but not the detailed formula or payment schedule. Keep those unresolved questions beside the conditional figure, even after an acquisition is described as completed.
Keep the dates separate
June 2026 · agreement — The Q3 results describe June 25 as entered/announced; the completion release describes June 26 as announced. This case retains month precision without asserting conflicting legal agreement dates.
August 13, 2026 · terms confirmed in results — The results release states the upfront and performance components in Canadian dollars. At that point, it still described completion as prospective.
August 24, 2026 · completion disclosed — Calian announced completion. The disclosure does not separately establish the exact legal closing or cash-payment day, or an actual contingent payment.
